Terms of Service

1.1 PQA Labs is a technology company. We develop and support QDay, a post-quantum, EVM-compatible blockchain network designed for decentralized applications, digital payments, and agent-initiated transactions (including via the x402 protocol).

1.2 PQA Labs is not a bank, money service operator, virtual asset trading platform, stablecoin issuer, custodian, broker, or investment adviser. We do not issue, mint, redeem, or promote any stablecoin, and we do not hold, custody, or control any user's digital assets, private keys, or wallets. You are solely responsible for the custody and security of your own assets, keys, and wallets.

1.3 QDay is open, permissionless network infrastructure. Transactions submitted to the QDay network are executed by a decentralized set of validators/nodes and, once confirmed, are generally irreversible. PQA Labs does not control, and cannot reverse, cancel, or refund, any on-chain transaction.

2.1 You must have the legal capacity to enter into a binding contract to use the Service. The Service is not directed at, and may not be used by, persons under the age of 18 (or the age of legal majority in their jurisdiction, if higher).

2.2 You represent that you are not: (a) located in, incorporated in, or a resident of any jurisdiction subject to comprehensive trade sanctions administered by the United Nations, Hong Kong, the United States, the European Union, or the United Kingdom; or (b) named on any restricted party, sanctions, or watch list maintained by such authorities. We may restrict or deny access to the Service in any jurisdiction at our discretion.

To access certain features you may need to register an account. You agree to provide accurate, current, and complete information, to keep it up to date, and to maintain the confidentiality of any credentials. You are solely responsible for all activity occurring under your account, whether initiated by you, an authorized user, or an autonomous agent acting on your behalf.

You agree not to use the Service to:

4.1 Violate any applicable law or regulation, including anti-money laundering, counter-terrorist financing, sanctions, tax, or data protection laws;

4.2 Interfere with, disrupt, degrade, or attempt unauthorized access to the QDay network, its validators, nodes, or infrastructure, or attempt to circumvent any security or consensus mechanism;

4.3 Deploy smart contracts, agents, or bots designed to exploit vulnerabilities, engage in market manipulation, fraud, or facilitate the transfer of stolen, sanctioned, or illicitly obtained assets;

4.4 Copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer, decompile, or disassemble it, except as expressly permitted by applicable law; or

4.5 Misrepresent your identity or affiliation, or use the Service to impersonate any person or entity, including any autonomous agent presenting itself as acting with authority it does not have.

We reserve the right to investigate suspected violations and to suspend or terminate access without liability to you.

The Service and its content (excluding User Content and open-source components released under their own licenses) are protected by intellectual property laws and are owned by or licensed to PQA Labs. Except for the limited rights expressly granted to you to access and use the Service, no other rights are granted. You may not use PQA Labs's trademarks, logos, or the "QDay" name without our prior written consent.

6.1 You retain ownership of any content you submit through the Service ("User Content"). By submitting User Content, you grant PQA Labs a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, reproduce, modify, and distribute it solely in connection with operating, securing, and improving the Service.

6.2 You are solely responsible for your User Content and for its compliance with applicable law. We may remove or disable access to any User Content that we reasonably believe violates these Terms or applicable law, without prior notice.

The Service may interoperate with, link to, or rely on third-party protocols, applications, wallets, oracles, bridges, or agent frameworks (including x402 and other agentic-payment integrations) that are not developed, controlled, or audited by PQA Labs. We do not endorse and are not responsible for such third-party services, and your use of them is at your own risk and subject to their own terms.

Nothing on the Service, including documentation, blog posts, or SDK examples, constitutes financial, investment, tax, or legal advice, or an offer or solicitation to buy or sell any digital asset or security. See our Disclaimer and Risk Disclosure, which are incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE (INCLUDING NETWORK UPTIME, SETTLEMENT TIMES, OR TRANSACTION FINALITY) WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VULNERABILITIES, OR THAT ANY SPECIFIC PERFORMANCE CHARACTERISTIC (INCLUDING SUB-SECOND SETTLEMENT) WILL BE ACHIEVED IN ALL CONDITIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PQA LABS AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DIGITAL ASSETS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify, defend, and hold harmless PQA Labs and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) actions taken by any agent or bot operating under your account or authority.

You acknowledge that using blockchain networks and digital assets carries significant risk, as further described in our Risk Disclosure, including volatility, technology risk, regulatory uncertainty, and the irreversibility of on-chain transactions, and that you assume such risks in full.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including where we reasonably suspect a violation of these Terms, applicable law, or a risk to the integrity or security of the network. Sections 5, 7–12, and 14–17 survive termination.

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including network consensus failures, acts of God, war, terrorism, labor disputes, governmental action, internet or utility failures, or third-party infrastructure outages.

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Administered Arbitration Rules in force at the time the arbitration is commenced. The seat of arbitration shall be Hong Kong, the arbitration shall be conducted in English, and the tribunal shall consist of one arbitrator.

We may modify these Terms at any time. Material changes will be notified via the Service or by other reasonable means, and will take effect from the date posted unless otherwise stated. Continued use of the Service after changes take effect constitutes acceptance.

17.1 Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

17.2 No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

17.3 Entire Agreement. These Terms, together with our Disclaimer, Risk Disclosure, and Privacy Policy, constitute the entire agreement between you and PQA Labs regarding the Service.

17.4 Assignment. You may not assign these Terms without our prior written consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
